Habrok Wholesale Terms and Conditions

1. Acceptance of Terms

By submitting the wholesale application form, you (the "Buyer") agree to abide by these wholesale terms and conditions set forth by Habrok (the "Seller"). These terms constitute a legally binding agreement between you and Habrok.

2. Account Approval

All wholesale account applications are subject to review and approval by Habrok. Habrok reserves the right to approve or deny any application at its sole discretion.

3. Minimum Order Requirements

The Buyer agrees to meet the minimum order requirements specified by Habrok. Initial orders must meet a minimum purchase value of $500. Subsequent orders must meet a minimum purchase value of $300.

4. Pricing and Payment

  • All prices are listed in USD and are subject to change without notice.
  • Payment methods accepted include credit card, PayPal, and bank transfer.
  • Payment is required at the time of order placement unless credit terms have been established.
  • If credit terms are granted, payment is due within 30 days from the invoice date.

5. Shipping and Delivery

  • The Buyer is responsible for all shipping and handling charges unless otherwise agreed upon.
  • Shipping times are estimated and not guaranteed. Habrok is not liable for any delays in delivery.
  • Risk of loss and title for products pass to the Buyer upon delivery to the carrier.

6. Returns and Exchanges

  • Returns are accepted within 30 days of receipt for defective merchandise only. The Buyer must obtain a return authorization from Habrok prior to returning any products.
  • Non-defective merchandise may not be returned unless expressly authorized by Habrok.
  • Custom Orders: Custom orders are non-returnable and non-refundable under any circumstances. This includes, but is not limited to, products with custom logos, designs, or specifications provided by the Buyer. Once a custom order is placed and approved, it is considered final.
  • The Buyer is responsible for all return shipping costs.

7. No Warranty

Habrok provides no warranty, express or implied, on any of the gear we sell. All products are sold "as is." This includes, but is not limited to, implied warranties of merchantability and fitness for a particular purpose. The Buyer acknowledges and agrees that Habrok is not responsible for any defects, damages, or failures of the products once received.

8. Resale of Products

  • The Buyer agrees to sell Habrok products at or above the Manufacturer’s Suggested Retail Price (MSRP) unless otherwise authorized by Habrok.
  • The Buyer is prohibited from selling Habrok products on third-party marketplaces such as Amazon, eBay, etc., without prior written consent from Habrok.

9. Marketing and Branding

  • The Buyer agrees to use Habrok’s marketing materials, including logos and product images, as provided by Habrok.
  • The Buyer must obtain written approval from Habrok for any custom marketing materials or alterations to provided materials.

10. Confidentiality

The Buyer agrees to maintain the confidentiality of all pricing, product information, and other proprietary information provided by Habrok. This information may not be disclosed to third parties without the prior written consent of Habrok.

11. Termination

Habrok reserves the right to terminate the wholesale relationship at any time, with or without cause. Upon termination, the Buyer agrees to cease the sale of all Habrok products and return any confidential materials.

12. Limitation of Liability

Habrok’s liability for any claim arising out of or related to these terms and conditions or the sale of products shall not exceed the purchase price paid by the Buyer for the specific products giving rise to the claim.

13. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

14. Entire Agreement

These terms and conditions constitute the entire agreement between the Buyer and Habrok and supersede all prior or contemporaneous communications and proposals, whether oral or written.

By submitting the wholesale application, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
